Offer Agreements with Client

1. GENERAL PROVISIONS
   1. This Public Agreement (hereinafter referred to as the Offer, Agreement) is an official proposal of the "Contractor" on the website, for the provision of information and consulting services to legal and / or capable individuals (hereinafter referred to as the Customer) in Ukrainian a marketing forum aimed at acquiring additional knowledge, skills and abilities by the Customer in a particular field of activity.
   2. Acceptance (acceptance) of this Offer means full and unconditional acceptance by the Customer of all conditions without any exceptions and / or restrictions and is equated in accordance with Part 2 of Art. 642 of the Civil Code of Ukraine (here in after referred to as the Civil Code of Ukraine) to the conclusion of a bilateral written agreement by the parties on the terms set forth below in this Offer.
   3. This Public Agreement for the provision of information and consulting services at the Ukrainian Marketing Forum (Offer) is considered concluded (accepted) from the moment the Customer completes an account on the Contractor's Website and the Customer's funds are received on the Contractor's account.
   4. The Contractor and the Customer provide mutual guarantees of their legal capacity and legal capacity necessary for the conclusion and execution of this Agreement for the provision of services for organizing participation in the Forum.


2. DEFINITIONS AND TERMS
   1. For the purposes of this Offer, the following terms are used in the following meaning:
   Offer - a real public agreement for the provision of information and consulting services at the Ukrainian Marketing Forum.
   Site - the website used by the Contractor as property rights or another online platform that the Contractor will use in accordance with the relevant Agreement.
   Services for information and consulting services at the Ukrainian Marketing Forum - any services of the Contractor, the types and costs of which are determined on the Site, to provide the Customer with limited access to the Site in accordance with the terms of the Offer for the provision of information and consulting services at the Ukrainian Marketing Forum.
   Offer Acceptance - full and unconditional acceptance of the Offer by taking actions for 100% advance payment for information and consulting services at the Ukrainian Marketing Forum.
   Contractor - IdeasFirst or another individual and / or legal entity entitled to provide information and consulting services to the Customer on the terms of this Offer.
   Customer - a person who has carried out the Offer Acceptance on the terms set forth in it.
   Agreement for the provision of information and consulting services (hereinafter referred to as the Agreement) - an agreement between the Customer and the Contractor for the provision of information and consulting services at the Ukrainian Marketing Forum, which is concluded through the Acceptance of this Offer.
   
   
3. SUBJECT OF THE OFFER
   1. The subject of this Offer is the provision of information and consulting services to the Customer at the Ukrainian Marketing Forum by the Contractor in accordance with the terms of this Offer for a fee paid by the Customer to the Contractor.
   The services are provided by providing the Customer with access to the online video broadcast of the Ukrainian Marketing Forum and content (audiovisual information materials) with the ability to communicate in real time in the format of an online chat. Participation in the Ukrainian Marketing Forum is carried out by the Customer using the Customer's computer device (smartphone, tablet, laptop, PC, etc.), which is connected to the Internet and has access to the corresponding online platform.
   2. The date of the Ukrainian Marketing Forum is June 03-04, 2020
   3. The cost of each type of information and consulting services at the Ukrainian Marketing Forum is set on the Contractor's Website. This agreement for the provision of services is considered concluded from the moment the funds are received on the account of the Contractor.
   4. Payments under this agreement are made in one of the ways offered to the Customer by clicking the "Pay" button
   5. Filling in the relevant application by the Customer and making payment in one of the ways indicated on the Site is a confirmation of the Customer to receive information and consulting services at the Ukrainian Marketing Forum. An invitation-memo is provided to the Customer by sending it to the Customer's e-mail address specified by him when filling out the application.

   7. This Offer has the force of an act on the provision of services. Acceptance is carried out without signing the corresponding act.
4. REGISTRATION OF THE CUSTOMER ON THE SITE
   1. Providing the Customer with information and consulting services at the Ukrainian Marketing Forum is possible provided that he creates an appropriate account on the Site. The account must contain the last name, first name of the Customer, his email address, telephone.
   2. The customer is responsible for keeping the password confidential. If the Customer establishes the facts of unauthorized access to his account, he undertakes to notify the Contractor's support service as soon as possible at forum @ www.uzhnuedu.com/offer_agreement.html
   
   
5. REGISTRATION OF THE CUSTOMER ON THE SITE
   Pay for the services provided in accordance with the Offer.
   The customer has the right:
   Monitor and evaluate the quality of the Contractor's services;
   To break the Offer unilaterally, notifying the Contractor of his intention in advance at least 5 (five) business days before the date of the provision of services by the Contractor. In this case, the Contractor refunds the amount paid by the Customer, minus 15% of the organizational fee from the cost of the services indicated on the website https://uzhnuedu.com when registering for Participation.
   In case of termination of the Offer on the initiative of the Customer less than 5 (five) working days before the date of the provision of services by the Contractor, the amount of money paid by the Customer is non-refundable.
   


6. LIABILITY OF THE PARTIES
   1. The Contractor and the Customer, taking into account the nature of the service provided, undertake, in the event of disputes and disagreements related to the provision of information and consulting services at the Ukrainian Marketing Forum, to apply a pre-trial dispute settlement procedure. If it is impossible to resolve the dispute out of court, the parties have the right to apply to the Ukrainian court.
   2. For non-fulfillment or improper fulfillment of obligations under this Offer, the parties are liable in accordance with the legislation of Ukraine.
   
   
7. FORCE MAJEURE
   1. forced confiscation, seizure of an enterprise, requisition, public demonstration, blockade, strike, accident, unlawful actions of third parties, fire, explosion, long interruptions in the operation of transport and / or a ban on holding mass events (more than 100 people or less) and / or quarantine measures (or similar events) at least a month before the planned event, regulated by the conditions of the relevant decisions and acts of state authorities and / or local self-government, as well as caused by exceptional weather conditions and natural disasters, namely: epidemic, pandemic, cyclone, hurricane , tornado, flood, snow accumulation, ice, hail, frost, earthquake, lightning, fire, drought, subsidence and landslide, other natural disasters, etc. and other circumstances,
   2. Force majeure under this Offer is the circumstances that occurred after the entry into force of this Offer . The occurrence of force majeure circumstances extends the terms of fulfillment of obligations under this Offer for the duration of such circumstances and their consequences.
   3. A party that cannot fulfill its obligations under this Offerdue to force majeure circumstances, must notify the other Party about it within three calendar days from the moment of occurrence of such circumstances. After the termination of the force majeure circumstances, the Party falling under such circumstances must notify the other Party about it within three calendar days from the date of termination of such circumstances. The notification of the occurrence and termination of force majeure circumstances must be properly documented within a reasonable time. A proper confirmation is a document issued by an authorized government body or the Chamber of Commerce and Industry of Ukraine (CCI of the corresponding region) or another person authorized in the relevant field. In case of non-compliance with the condition of the message and its proper confirmation, the party that violated this condition, will not be able to refer to these circumstances and their consequences as a basis for exemption from liability for full or partial failure to fulfill obligations. Circumstances that are generally known do not require confirmation.
   4. In the event of termination of force majeure circumstances, the Party that referred to them is obliged to immediately send a notification to the other Party. Such a message must indicate the period during which the fulfillment of obligations under this Offer is expected . After the termination of the force majeure circumstances, the obligations under this Offer , the due date for which has come, are subject to immediate execution.
   5. The occurrence and operation of force majeure circumstances is not the basis for the Customer's refusal to pay for the Contractor's services, which were actually directed to the execution of the Agreement (provided within the framework of this Offer before the start date of the force majeure circumstances) - organizational fee.
   
   
8. OTHER PROVISIONS
   1. The customer guarantees that all the conditions of the offer are clear to him and he accepts them unconditionally and in full, without any conditions, exceptions and reservations.
   2. In the case that is not regulated by this Agreement, the Parties undertake to be guided by the norms established by the current legislation of Ukraine.
   3. The legislation of Ukraine applies to this agreement.
   4. The Parties give each other consent to the processing and storage of personal data that become known to them in connection with the conclusion of this Agreement, to the extent that it is necessary in accordance with the requirements of the current legislation of Ukraine.
